4. Our Services
HN Enterprises provides commercial interior fit-out services including turnkey interior projects, commercial interior design, corporate interiors, warehouse fit-outs and retail showroom fit-outs. We operate exclusively in the commercial sector and do not undertake residential interior projects.
The specific scope, timeline, deliverables and pricing for each project are defined in the Proposal and Project Agreement. You should review all project documentation carefully before providing written acceptance.
Any changes to the agreed scope of work must be submitted in writing and confirmed by HN Enterprises before implementation begins. Additional costs arising from approved scope changes will be documented and agreed upon before work proceeds.
We subcontract certain specialist trades (electrical, civil, HVAC, furniture and others) as required. HN Enterprises remains responsible to the Client for the quality of all work delivered under the Project Agreement.
5. Quotations and Proposals
Proposals issued by HN Enterprises are valid for thirty (30) days from the date of issue unless otherwise stated in writing. After this period, pricing is subject to review.
All Proposals are subject to an on-site survey. Pricing may be revised following a site assessment if site conditions differ materially from those described at the time of enquiry. We will notify you of any revisions before proceeding.
A Proposal becomes binding only upon your written acceptance and receipt of the agreed advance payment. Verbal instructions or informal emails do not constitute acceptance unless confirmed in writing by both parties.
Material and labour costs are subject to market fluctuations. For projects commencing more than sixty (60) days after Proposal acceptance, we reserve the right to review and adjust pricing for materials with reference to current market rates.
6. Payment Terms
Payment terms are set out in the Project Agreement and typically include an advance payment upon agreement, milestone-based stage payments during execution and a final payment upon project handover and sign-off.
All payments are due within the period specified in the Project Agreement. Late payments may attract interest at the rate permissible under applicable Indian law, including the provisions of the MSME Development Act, 2006 where applicable.
HN Enterprises reserves the right to suspend work if payments are not received by agreed due dates. Project delays resulting from withheld payments are the Client's responsibility, and HN Enterprises shall not be liable for resulting timeline overruns.
All prices are exclusive of applicable Goods and Services Tax (GST) unless explicitly stated otherwise. GST will be charged at the applicable rate and shown separately in invoices.
7. Project Execution
We will assign a qualified project team to each engagement and appoint a designated Site Supervisor responsible for day-to-day site management and coordination.
The Client agrees to provide unobstructed, safe site access during agreed working hours. Any access restrictions that are not disclosed at the time of Proposal may affect the project timeline and cost.
The Client is responsible for obtaining all necessary building permits, NOCs (No Objection Certificates) and approvals required for the works, unless otherwise expressly agreed in the Project Agreement.
HN Enterprises shall not be responsible for delays or additional costs caused by:
- The Client's failure to provide timely instructions, decisions or approvals
- Pre-existing structural issues, concealed services or undisclosed site conditions
- Third-party building management restrictions not communicated to us in advance
- Delays in delivery of Client-supplied materials, furniture or equipment
Project timelines stated in the Project Agreement are estimates based on information available at the time of proposal. We will communicate any material changes to the timeline as soon as they are identified.
8. Client Obligations
You agree to provide complete and accurate project information prior to and during the project, including site dimensions, existing services layouts, access restrictions and any specific regulatory requirements applicable to your premises.
You are responsible for ensuring the site complies with all applicable health, safety and building regulations prior to and during our works. Our team will comply with all applicable site safety requirements.
You agree to nominate a single authorised point of contact with full authority to give instructions, approve materials and accept deliverables on your behalf during the project. Lack of a clear point of contact may cause delays for which HN Enterprises will not be responsible.
9. Intellectual Property
All drawings, design concepts, layout plans, specifications, documentation and other materials created by HN Enterprises remain our intellectual property until full and final payment has been received.
Upon receipt of full payment, the Client is granted a non-exclusive, non-transferable licence to use the delivered works for the purpose for which they were created. This licence does not include the right to reproduce or adapt our designs for use in other projects.
You agree not to reproduce, distribute or commercially use our design documents, drawings or plans without our prior written consent.
Unless you notify us in writing to the contrary, you grant HN Enterprises the right to photograph completed projects and use such images and project descriptions for our portfolio, website and marketing materials. We will not disclose confidential business information about your operations in any such use.
The HN Enterprises name, logo and brand assets are our exclusive property. You may not use them without our prior written consent.
10. Limitation of Liability
Our total liability to you arising out of or in connection with any Project Agreement, whether in contract, tort (including negligence) or otherwise, shall not exceed the total fees paid by you to us under that Project Agreement.
We shall not be liable to you for any indirect, consequential, incidental or special loss or damage, including but not limited to loss of profit, loss of revenue, loss of business, loss of data or wasted management time, even if we have been advised of the possibility of such losses.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Indian law.
11. Force Majeure
Neither party shall be liable for delays or failures to perform their obligations where such delay or failure results directly from circumstances beyond their reasonable control. This includes but is not limited to natural disasters, floods, pandemics, government orders, import restrictions, civil unrest, strikes or labour disputes affecting suppliers.
The affected party shall notify the other in writing as soon as reasonably practicable after the force majeure event begins and shall use reasonable efforts to minimise the impact. If the event continues for more than sixty (60) days, either party may terminate the Project Agreement by written notice, with settlement for work completed to date.
12. Termination
Either party may terminate the Project Agreement in the event of a material breach by the other party that remains unremedied for thirty (30) days following written notice of that breach.
In the event of termination by either party, you shall pay HN Enterprises for all work completed to the date of termination, all materials purchased or committed to purchase, and reasonable demobilisation costs. HN Enterprises will provide a clear itemised account of all amounts due.
HN Enterprises reserves the right to suspend work without notice in the event of non-payment and may terminate the Project Agreement if payment is not received within fourteen (14) days of a suspension notice.
13. Dispute Resolution and Governing Law
In the event of any dispute arising out of or in connection with these Terms or the Project Agreement, the parties shall first attempt to resolve the matter through good-faith negotiation within thirty (30) days of written notice of the dispute.
If the dispute is not resolved through negotiation, either party may seek resolution through mediation or, if necessary, binding arbitration, before resorting to litigation.
These Terms and any Project Agreement are governed by and construed in accordance with the laws of India. The courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any disputes that proceed to litigation.
14. Amendments to These Terms
HN Enterprises reserves the right to update or amend these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. Significant changes will be brought to your attention where practicable.
Your continued use of the Website or engagement of our Services after any amendment constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.
